EULA
This End-User License Agreement (the “Agreement”) is a legally binding contract between Studio Slancio / Luca Pontarelli (“Licensor”) and the Licensee (“Licensee”) purchasing the license to use the font software. By downloading, installing, or using the Font Software, the Licensee agrees to be bound by the terms of this Agreement.
Definitions
Font Software: Refers to the font files (OpenType, TrueType, Webfont formats, etc.), and any and all digital data, designs, and intellectual property embodied therein, supplied by Licensor.
Licensee: The individual or entity acquiring the right to use the Font Software as defined herein.
Invoice/Receipt: The document provided by Licensor to the Licensee that specifies the License Type purchased and the specific metrics (e.g., number of users, domains, page views) governing that License.
Permitted Uses: The specific activities for which the Font Software may be used, as detailed in Section 3, subject to the limitations in the Invoice/Receipt.
Grant of License
Licensor hereby grants the Licensee a non-exclusive, non-transferable, and perpetual License to install and use the Font Software only within the scope of the License Type purchased and according to the Permitted Uses outlined in this Agreement. The right to use the Font Software is granted only upon payment in full of the license fee.
Permitted Uses and Restrictions (License Specific)
Desktop License (Print & Static Digital Media)
Allowed Users/Devices:
Installation is permitted on devices (CPUs) at a single location, with the maximum number of permitted installations being clearly defined on the Licensee’s Invoice or Receipt.
Permitted Use:
Creation of static designs for Print, PDF, and Rasterized Images, including: Logos, branding, packaging, printed publications, merchandise, and static graphics/images for websites or social media.
Sharing with Printer:
Allowed to share one copy of the Font Software with a single, third-party commercial printer or service bureau solely for outputting the Licensee’s material. The printer must immediately delete the font files upon completion of the job.
Prohibited Use:
STRICTLY PROHIBITED from use in Webfonts (@font-face CSS), Mobile Applications, E-books, Server-based systems, or Broadcast/Film/Video content.
Webfont License (@font-face CSS)
Allowed Format:
Only the specific Webfont file formats (WOFF, WOFF2) provided by Licensor may be used. Desktop files (.OTF, .TTF) are strictly prohibited for web embedding.
Domain & Traffic:
Permitted for use on a specific number of domains owned by the Licensee, up to a maximum number of unique monthly page views. The exact number of allowed domains and the page view limitation will be explicitly defined on the Licensee’s Invoice or Receipt.
Self-Hosting:
The Webfont files must be self-hosted on the Licensee’s web server. Licensee must take all reasonable technical measures to prevent unauthorized downloading or extraction.
Prohibited Use:
STRICTLY PROHIBITED from use in Mobile Applications, E-books, Software, or any application that allows end-users to select, edit, or customize text using the Font Software.
App License (Mobile & Desktop Applications)
Allowed Use:
Embedding the Font Software into a specific number of unique application titles on platforms such as iOS, Android, macOS, or Windows.
Metrics:
Usage is limited by a maximum number of total installations or Monthly Active Users (MAU). The exact number of permitted application titles and the installation/user limitation will be explicitly defined on the Licensee’s Invoice or Receipt.
Embedding:
The Font Software must be securely embedded in a proprietary format that prevents extraction or unauthorized use outside of the application.
Prohibited Use:
STRICTLY PROHIBITED from use on Websites (@font-face), E-books, Broadcast content, or if the application allows end-users to select, edit, or customize the text using the Font Software.
Broadcast License (Film & Video Content)
Allowed Use:
Use in a specific number of named production/titles (e.g., films, series, commercials) for text, credits, and graphics in video content.
Territory/Audience:
Distribution rights are limited to a maximum audience size or budget tier. The exact number of permitted titles and the audience/budget limitation will be explicitly defined on the Licensee’s Invoice or Receipt.
Prerequisite:
A valid Desktop License is required to create the graphics.
Prohibited Use:
STRICTLY PROHIBITED from use in creating merchandise, logos (separate Desktop License required), Websites, or Mobile Applications.
General Prohibited Uses (Applies to ALL Licenses)
No Resale or Distribution:
Licensee SHALL NOT sublicense, sell, distribute, lend, lease, or give away the Font Software. Inclusion of the font in a website template, software theme, or toolkit intended for resale or distribution by the Licensee is STRICTLY PROHIBITED.
No Modification:
Licensee SHALL NOT modify, adapt, translate, convert, reverse-engineer, decompile, disassemble, or create derivative works based on the Font Software.
No Font-as-a-Product:
The Font Software SHALL NOT be used in any way where the font is the primary value or means of distribution, such as selling individual letterforms as vector artwork.
Editable Text Restriction:
The Font Software SHALL NOT be embedded or installed on any server or system that enables third-party end-users to select, edit, or customize text using the Font Software (e.g., product builder) without a separate, valid Server License.
Intellectual Property and Ownership
The Font Software, and all intellectual property rights embodied therein (including, without limitation, the typeface design, name, trademark, and copyright), are and shall remain the exclusive property of Studio Slancio / Luca Pontarelli. This Agreement grants a limited, non-exclusive, non-transferable right of use, not a transfer of ownership or title. The Licensee may not remove, alter, or obscure any proprietary notices contained in or on the Font Software.
Term and Termination
This License is perpetual unless terminated. Licensor may terminate this Agreement immediately upon written notice if the Licensee breaches any of the terms, including but not limited to exceeding the usage metrics defined in the Invoice/Receipt. Upon termination, the Licensee must immediately cease all use of the Font Software and certify in writing to Licensor that all copies have been destroyed.
Warranties and Disclaimers (Conspicuous per Illinois Law)
LIMITED WARRANTY: Licensor warrants that the Font Software will perform substantially in accordance with its specifications for ninety (90) days from the date of purchase. Licensor’s sole obligation under this warranty is limited to either replacement of the Font Software or a refund of the license fee paid, at Licensor’s sole discretion.
DISCLAIMER OF ALL OTHER WARRANTIES
EXCEPT FOR THE LIMITED WARRANTY IN SECTION 6(A), THE FONT SOFTWARE IS PROVIDED “AS IS” AND “WITH ALL FAULTS.”
LICENSOR HEREBY EXPRESSLY DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
THIS DISCLAIMER IS CONSPICUOUS AND CLEARLY COMMUNICATES THAT THE LICENSEE ASSUMES THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE FONT SOFTWARE.
Limitation of Liability (Conspicuous per Illinois Law)
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
LICENSOR SHALL NOT BE LIABLE TO THE LICENSEE OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST SAVINGS, OR LOST DATA), EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LICENSOR’S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT ACTUALLY PAID BY THE LICENSEE TO LICENSOR FOR THE SPECIFIC FONT SOFTWARE LICENSE AT ISSUE.
Indemnification
The Licensee agrees to indemnify, defend, and hold harmless Licensor (Studio Slancio), its owners, agents, and employees from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to the Licensee’s breach of any term of this Agreement or the Licensee’s unauthorized use or modification of the Font Software.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. The Licensee agrees that the exclusive venue for any dispute arising out of or relating to this Agreement shall be in the state or federal courts located in Cook County, Illinois.
